IIFL Capital Services is a financial services firm spanning retail and institutional equities broking, investment banking, wealth management and financial product distribution, and it reports into a quarter marked by a sharp August slump in F&O turnover and a record mainboard IPO season. The print will speak to two things above all: the status of the ~Rs. 2,000 Cr Fairfax preferential infusion at Rs. 350/share, and whether operating PBT holds up as the ~Rs. 90 Cr BSE mark-to-market tailwind of Q1 FY27 likely reverses.

The board of IIFL Capital Services Ltd will meet on October 28, 2026 to consider the audited financial results for the quarter and half year ended September 30, 2026.
The quarter's central question is earnings quality: Q1 FY27 PAT of Rs. 184 Cr rose 60% QoQ on roughly Rs. 90 Cr of BSE share mark-to-market gains while operating PBT fell 9% YoY, and with BSE shares down 19.90% over the three months to September 22, the MTM line likely swings from tailwind to headwind against a Q2 FY26 base that was itself negative at Rs. (441) Mn. Retail broking (Rs. 297 Cr in Q1 FY27, flat QoQ) faces a volume test after equity derivatives ADTV fell 22% MoM in August to a 14-month low, compounded by the RBI margin framework effective July 1, 2026, which brokers say cooled F&O volumes 20-25%. Offsetting that, the distribution engine enters with tailwinds — SIP contributions rose each month of the quarter to Rs. 32,490 Cr in September, demat additions of 9.04 million were the highest in seven quarters, and Distribution AUM stood at Rs. 574 Bn at Q1 FY27. Institutional equities and IB (Rs. 207 Cr in Q1 FY27, 11 transactions) should benefit from a record Rs. 94,205 Cr of H1 FY27 mainboard fundraising, up 35% YoY, with the September quarter the highest fee quarter since December 2025 for a franchise that ranked #1 in FY26 mainboard IPO league tables with 25.9% share. The Fairfax transaction remains the dominant overhang: CCI cleared the deal on September 22-23, 2026, but as of mid-October the ~Rs. 2,000 Cr infusion at Rs. 350/share had no confirmed fund receipt, and Fairfax has since announced plans to contribute its IIFL Capital interest to IDBI Bank subject to approvals. The call will also be tested on the RBI margin rule's read-through to the MTF book of Rs. 17.9 Bn and finance cost, which was already up 48% YoY at Rs. 60 Cr in Q1 FY27.
Performance vs Guidance Tracking: Management has multiple open commitments that straddle this results date.
Operating PBT vs MTM bridge: The swing factor sits below the operating line.
Retail broking volumes and SEBI brokerage-cap overhang: The F&O-weighted revenue line faces its toughest volume quarter in over a year.
Fairfax transaction status: The dominant, evolving corporate action overhanging the quarter.
FPD normalisation and MTF economics: Distribution income dipped in Q1 and the funding-cost read-through of the RBI margin rule is testable this call.
Management has said that if the brokerage falls and there is a cap, then there will be an impact, though the decision 'is not law' and the consultation remained unresolved as of late October 2026. Institutional income from FIIs is uncapped.
Fairfax India, through FIH Mauritius Investments, plans to raise its stake to at least 51% via a preferential issue of 5,71,42,857 shares aggregating ~Rs. 2,000 crores at Rs. 350/share plus an open offer, with CCI approval received on September 22-23, 2026. As of mid-October the funds had not been received, and Fairfax has announced plans to contribute its IIFL Capital interest to IDBI Bank, subject to RBI, SEBI and other approvals.
PAT of Rs. 184 Cr rose 60% QoQ largely on ~Rs. 90 Cr of mark-to-market gains on BSE shares in other income. Operating PBT of Rs. 149 Cr was actually down 9% YoY.
FY26 interest income of Rs. 439 crores was split roughly 50-50 between MTF interest and bank/exchange deposit interest, at a net interest spread of about 4%. Management noted difficulty precisely attributing interest expense to segments.
Management has said 'we are well capitalized and we have enough dry powder to grow', with capital sufficient to support 20% growth over the next two years without additional capital. Net worth stood at Rs. 33.1 Bn at Q1 FY27, before the pending ~Rs. 2,000 Cr Fairfax infusion.
